UBS: ZXA, the world's biggest drugmaker, has entered into a definitive deal with GNC-ZXA, a new global drug market subsidiary, to buy US-based ZXA, which is set to be launched in two years.

GNC-ZXA (Nexium 24HR) is the third-largest global pharmaceutical company by revenue, and its sales growth was driven by a significant number of blockbuster drugs.

The deal will be completed in the first quarter of 2012, with the new subsidiary in place for the rest of the year.

The US-based company, which has a US equity stake in GNC-ZXA, said the transaction is expected to bring in US $1.7bn, with the majority of that market going to be in the Asia-Pacific region.

GNC-ZXA will manufacture the new product, which will be made exclusively by ZXA, for a total cost of US$2.1 billion.

The deal is the first in a series of acquisitions, all involving the US firm and its product, Nexium 24HR, a long-acting and highly potent medication.

US sales have been declining since the initial patent expiry of Nexium (Paliota) hit its market, but the company has been steadily building its presence and sales growth, despite having a history of delivering high-quality and innovative products.

The deal will be subject to approval by the US Food and Drug Administration, with GNC-ZXA expected to receive approval from the FDA for a new formulation, which will be launched in the second quarter of 2012.

GNC-ZXA will sell its product for $1.5bn in the US market, with the remaining US net worth going to be sold in emerging markets, and other emerging markets being used as the second-largest markets to do business.

GNC-ZXA will also have a global presence and sales force to help drive its operations, with a diverse portfolio of products and services including its heartburn and allergy management, and other brands.

ZXA's global headquarters will be located in London, and a research- and development-focused research centre will be located in the US.
